Terms and Conditions: Causes

It is important that you read these MyDifference terms and conditions (“MyDifference Terms”) and the Woolworths Privacy Notice (www.woolworths.co.za)
(“Privacy Notice”) carefully to ensure that you understand what communications you can expect, and to ensure that you receive your MyDifference contributions. If you do not comply with these MyDifference Terms, your partnership with MyDifference may subsequently be terminated. By receiving the MyDifference communications, you agree that you enter into a legally binding contract with us on these MyDifference Terms and the Privacy Notice. The provisions of the Privacy Notice are hereby incorporated by reference into the MyDifference Terms and any reference to “MyDifference Terms” shall include the
provisions of the Privacy Notice which have been so incorporated by reference. Your access and/or receipt of communications is deemed as agreement to these MyDifference Terms and the Privacy Notice. If you do not agree to these MyDifference Terms and the Privacy Notice, please inform us immediately and we will process your deactivation from the programme.

 

MyDifference Loyalty Programme

1.      MyDifference is a Woolworths loyalty programme where customers can give back to their chosen Causes registered with the MyDifference programme. The Causes on the MyDifference programme include, but are not limited to, organisations supporting education, people in need, animals and the environment. Woolworths undertakes to pay a percentage of our customers spend to their selected Cause/s when customers scan their MyDifference card.

Becoming a MyDifference Cause

Eligible Criteria:

      
1.        
A school that is registered with the Department of Education or Department of Social Development; or

    
2.        
A non-profit organisation (NPO) or a public benefit organisation (PBO) that is registered as an NPO or a PBO with the South African Revenue Services;
and must focus on:

o   uplifting people with physical or mental disabilities, orphans or the vulnerable; or

o   uplifting people through education or social development; or

o   protecting the environment; or

o   protecting animals; or

o   any other Cause we may choose at our sole discretion.

    
3.        
Your organisation cannot qualify as a Cause if it is:

o   an institute promoting religion (this includes, but is not limited to,
institutions such as churches, mosques and temples);

o   a charity promoting a specific political group or orientation;

o   a charity promoting specific social activism issues or views;

o   a sports club or association;

o   an interest or hobby group;

o   a profit-making company.

    
4.        
Individuals cannot qualify as Causes.

 

Documents Required

      
1.        
MyDifference Cause application should be requested at rewards@woolworths.co.za.

    
2.        
The following documents are to be emailed to rewards@woolworths.co.za:

·      The completed MyDifference Cause application form containing your full details and your signature indicating that you agree with our Terms and
Conditions.

·      A copy of your organisation’s letterhead.

·      A copy of your organisation’s VAT registration form (if VAT registered).

·      A short (no more than 300 words) description of what your organisation does.

    
3.        
Your application shall be reviewed based on the above criteria we have determined, at our sole discretion. We will contact you to let you know whether
your application has been provisionally approved and will request additional required documents.

 

The Agreement

      
1.       
This agreement commences once we have fully approved your application, and we have received valid documentation to verify your organisation’s bank
account details. You will be given 30 (thirty) days to send through all requested documentation. The agreement remains in force, until one of the
parties, Woolworths or the Cause, notifies the other of the intention to
terminate.

    
2.        
The contents of the Cause’s application form, along with any additional requirements stipulated prior to processing the application, shall form an
integral part of this Agreement.

    
3.        
Either party may terminate this Agreement by providing 90 (ninety) calendar days’ prior written notice to the other party.

    
4.        
MyDifference reserves the right to terminate this Agreement with immediate effect in the event of the Cause’s non-compliance with the terms herein.

 

Terms for Termination Threshold

1.      Minimum Supporter Threshold: Maintain at least one active supporter.

2.    Support Threshold Goal: To remain an active beneficiary of the MyDifference program, your organisation needs to receive a minimum of R20.00 (twenty rand) per month through customer contributions. If this amount falls below the threshold for six months within a year—whether consecutively or not—we may and reserve the right to temporarily pause or deregister your organisation. Our goal is to help sustain your involvement and maximize the long-term impact of the support you receive.

3.    Transfer of funds: If the minimum threshold of R20.00 (twenty rand) per month is not met, the contributions received will not accrue to your organisation. Instead, they will be directed toward meaningful initiatives within the Woolworths Difference Fund (formerly the Thuso Fund), ensuring continued impact where support is needed.

 

Contact ability

If the Cause fails to respond to communication attempts, the following termination process will apply:

  1. Failure to comply to our communication requirements may result in termination of partnership (we will exhaust 3 (three) attempts i.e. calls/emails);
  2. Subsequent termination will be implemented should no response be received within 30 (thirty) days from the exhaustion of the communication attempts as referred to in paragraph 1 above; 
  3. A formal termination email will be sent.

Compliance

      
1.   
The Cause is required to respond to all Broad-Based Black Economic Empowerment (BBBEE) and mandatory governance-related information requests.
Failure to comply may result in termination.

    
2.   
Failure to provide accurate banking details may lead to termination of account.

 

Our Services

  1. Customers will be able to select any Cause (up to a maximum of 3 (three) Causes) of their preference, when joining the MyDifference programme;
  2. Once the customer has chosen their Cause, they will not be able to change it until the window period for changing Causes opens which shall be communicated to customers;
  3. This annual window period is open annually during the month of January;
  4. Deposit the contribution into your bank account monthly, following 30 (thirty) day payment terms;
  5. Provide remittance of contributions made, on a monthly basis.

Annual Cause Selection Period

      
1.        
Every year we will give customers the opportunity to confirm or change
their selected Cause.

    
2.        
This will take place annually during the month of January.

    
3.        
MyDifference will send an alert to our customers informing them of the window period being opened and closed.

 

Responsibilities

On acceptance of the application, you hereby agree to the following:

  1. You will comply with the Terms and Conditions.
  2. You will market and promote the MyDifference programme without causing harm to MyDifference or Woolworths, operations, initiatives and/or reputation.
  3. You will request and obtain our prior written approval for use of our logos in any of your marketing material or where you might want to make reference to us in any public communication.
  4. You will comply with government regulations, a Cause will be required to complete an annual SED BBBEE verification.
  5. Recipients of contributions from the MyDifference programme are required to provide written feedback of the impact the contributions have made. This can be in the form of an impact story via email to GoodNews@woolworths.co.za.

Funding Model

1.      MyDifference Causes will receive 70% of Woolworths contributions. The remaining 30% will be retained for administrative purposes.

 

Personal Information

      
1.        
Causes personal information will be used for registration, payment, detail confirmation and to assist on reporting in terms of the Broad-Based
Black Economic Empowerment Act.

    
2.     
All personal information will be treated as confidential and processed in accordance with applicable privacy laws.

Communication

      
1.        
All official communication shall be conducted via email or telephone.

    
2.        
The MyDifference email address is custserv@woolworths.co.za. The Woolworths Customer Service telephone number is 0860 022 002.

    
3.        
All legal documents and notices (including service of legal process) shall be delivered to the contact details provided by the Cause in its
application form. It is the responsibility of the Cause to notify MyDifference of any changes to its contact details.

    
4.        
Failure to respond to mandatory requirements, including but not limited to the BBBEE SED verification survey, annual profile updates or changes in banking details, shall result in the following process:

·      3 (Three) calls or emails will be sent to the Cause.

·      If no response is received, a formal termination notice will be issued.

·      The Cause will have 90 (ninety) days to respond before termination is enforced.

 

Partnerships

We reserve the right to review our partnerships with other organisations from time-to-time.

 

Changes to or Breach of Terms

      
1.        
Any amendments to these Terms and Conditions necessitated by changes in legislation or MyDifference’s business model will be communicated to Causes at least thirty (30) calendar days in advance. Causes may either accept the revised Terms and Conditions or opt to terminate their participation in the MyDifference programme.

    
2.       
In the event of a breach of these Terms and Conditions, the non-breaching party shall issue a written notice (including email) demanding rectification within 14 (fourteen) calendar days. If the breach remains unremedied, the non-breaching party may terminate this Agreement with immediate effect and pursue any further remedies available in law or under this Agreement.

    
3.       
Failure to enforce any provision of these Terms and Conditions at any given time shall not
constitute a waiver of any rights.

 

Cession and Assignment of Rights and Obligations

      
1.       
The Cause shall not assign, cede, delegate or transfer any of its rights or obligations under this Agreement without the prior written consent of MyDifference.

    
2.        
MyDifference reserves the right to cede, assign or delegate its rights and obligations under this Agreement to any third party without prior notice to
the Cause.
